By accessing our website or creating an account on the Grovia platform, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our website or platform. These terms apply to all visitors, registered users, and organisations that access or use our services.

To use the Grovia platform, you must create an account. You agree to: • Provide accurate, complete, and current information during registration. • Maintain the security of your account credentials and not share them with others. • Notify us immediately at info@groviaos.com if you suspect unauthorised access to your account. • Accept responsibility for all activity that occurs under your account. You must be at least 18 years old or have authority to bind your organisation to enter into these Terms.

You agree to use Grovia only for lawful business purposes. You must not: • Use the platform in any way that violates applicable laws or regulations. • Upload, transmit, or store content that is illegal, harmful, defamatory, or infringes any third-party rights. • Attempt to gain unauthorised access to any part of the platform or its infrastructure. • Reverse-engineer, decompile, or attempt to extract the source code of the platform. • Use the platform to send unsolicited bulk communications (spam). • Misrepresent your identity or affiliation. We reserve the right to suspend or terminate accounts that violate these terms.

4.1 Fees are as specified in your chosen subscription plan at the time of sign-up. 4.2 Subscriptions are billed monthly or annually in advance depending on your selected billing cycle. 4.3 All subscription fees are non-refundable except as required by applicable law or as stated in our refund policy. 4.4 If you upgrade your plan mid-cycle, the additional charges will be prorated for the remainder of the billing period. 4.5 Late payments may result in suspension of your account until the outstanding balance is settled. 4.6 Payments processed online are handled by Razorpay and are subject to their terms and conditions. Card details are not stored by Grovia. 4.7 We reserve the right to change pricing with 30 days' notice. Continued use after the effective date constitutes acceptance of new pricing.

5.1 You retain full ownership of all data you upload, create, or manage within the Grovia platform ("Your Data"). 5.2 By using Grovia, you grant us a limited licence to store, process, and display Your Data solely for the purpose of providing the service to you. 5.3 We will never sell Your Data to third parties or use it for our own marketing purposes. 5.4 Upon account termination, you may export Your Data. We will retain Your Data for 30 days after termination before permanent deletion, unless a longer period is required by law.

6.1 Grovia and its licensors own all intellectual property rights in the platform, including software, design, trademarks, and documentation. 6.2 Nothing in these Terms transfers any ownership of our intellectual property to you. 6.3 You are granted a limited, non-exclusive, non-transferable licence to access and use the platform solely for your internal business operations during the term of your subscription.

Both parties agree to treat as confidential any proprietary or sensitive information shared in the course of using or operating the platform. Grovia will not disclose your account information or data to third parties without your consent except as required by law or as described in our Privacy Policy. This obligation of confidentiality survives termination of these Terms.

8.1 Grovia warrants that the platform will operate substantially as described in our documentation. 8.2 We will use commercially reasonable efforts to ensure the platform is available 99.9% of the time, excluding scheduled maintenance. 8.3 THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT AS EXPRESSLY STATED HEREIN. 8.4 We do not warrant that the platform will be error-free or uninterrupted at all times.

To the fullest extent permitted by law: • Grovia's total liability for any claim arising from use of the platform shall not exceed the total subscription fees paid by you in the 12 months preceding the claim. • Grovia shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, business opportunities, or goodwill. • Grovia shall not be liable for delays or failures caused by circumstances beyond our reasonable control (force majeure), including natural disasters, internet outages, cyberattacks, or government actions.

10.1 You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. 10.2 We reserve the right to suspend or terminate your account immediately for breach of these Terms, non-payment, or if continued service would violate applicable law. 10.3 Upon termination, your right to access the platform ceases. You should export Your Data before termination. 10.4 Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will remain in effect.

These Terms of Service shall be governed by and construed in accordance with applicable law. Any disputes arising from or relating to these Terms or our services shall first be subject to good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration. You may also have the right to bring claims in small claims court.

We reserve the right to update these Terms of Service at any time. Material changes will be communicated by email and by updating the "Effective date" on this page at least 14 days before the changes take effect. Your continued use of the platform after the effective date constitutes acceptance of the new Terms.
